Step 1: The Identity Foundation (DSC & DIN)
Before you submit your registration document, the directors need to obtain a ‘Digital Identity’ for the company.
- Digital Signature Certificate (DSC): Since the company registration is done 100% online, you need a Class 3 DSC to sign the electronic forms. This only takes about 1 to 2 business days.
- Director Identification Number (DIN): Every director is assigned an 8-digit DIN. Starting in 2026, you won’t have to apply for this in new businesses, as it will be allocated automatically in the last step of incorporation.
Step 2: Brand Name Reservation (SPICe+ Part A)
Your company name has to be distinct and cannot be confused with existing businesses or trademarks (i.e., you cannot call your startup “Bangalore Zomato”). You may suggest two names in order of preference.
The Bangalore Tip: Before you even attempt to file, check the name with the MCA to see if it is available. If it is available, you have the right to it, but you will only have 20 days to finish the other filings.
Step 3: Drafting the “Constitution” (MoA & AoA)
The two essential components of your company from a legal standpoint are:

- Articles of Association (AoA): These govern internal governance, meeting procedures, and share transfers.
These are submitted in electronic form as e-MoA (INC-33) and e-AoA (INC-34) in this technological age.
Step 4: Submission of the Final SPICe + Part B
The application is the super form. It integrates:
- Incorporation Filing.
- PAN & TAN (Tax IDs) allotment.
- EPFO & ESIC registration (compliance with labor laws).
- Professional Tax Registration (mandatory for all businesses in Karnataka).
- Bank Account Opening (You can also indicate your preferred bank for the initial current account via the form.)
Step 5: Payment of Stamp Duty (The Karnataka Factor)
Stamp duty is a tax levied by the state. In Bangalore, the stamp duty for a standard company with ₹1 Lakh authorized capital is about ₹11,000 (₹5,000 each for the MoA and AoA, and another ₹1,000 for the AOA e). It increases if you raise your capital.
Step 6: Receipt of the Certificate (COI)
The digital Certificate of Incorporation (COI) is issued by the Registrar of Companies (ROC), Bangalore. It confirms that the documents have been verified. It contains the Corporate Identity Number (CIN), and it is the official “birthday” of your company.
Checklist of Required Documents
- For Directors: A bank statement and a utility bill (not older than 2 months), a passport-size photo, an Aadhaar card, and a PAN card.
- For the Office: A NOC from the property owner, and the most recent utility bill (water/electricity) for the office.
